End User License Agreement
This End User License Agreement, or EULA, governs access to and use of the Nudgora software and related services. By accessing or using Nudgora, you agree to this agreement on behalf of yourself or the entity you represent.
License grant
Subject to your compliance with this agreement, Nudgora grants you a limited, non-exclusive, non-transferable, revocable right to access and use the service for your internal business purposes.
Restrictions
You may not, except as expressly permitted by law or by written agreement:
- copy, resell, sublicense, rent, lease, or distribute the service;
- reverse engineer, decompile, disassemble, or attempt to derive source code from the service;
- interfere with the service, security features, or connected third-party systems;
- use the service in violation of applicable law, contractual obligations, or third-party rights;
- use the service to send unlawful, deceptive, harassing, or abusive communications.
Customer data and connected accounts
You retain responsibility for the data you connect to Nudgora, including accounting records, customer information, and reminder content. You represent that you have the authority to connect third-party services such as QuickBooks and to process the associated data through Nudgora.
Third-party services
Nudgora may interoperate with third-party products and services, including QuickBooks and email delivery providers. Your use of those third-party services is subject to their own terms, policies, availability, and technical limits.
Fees and subscriptions
Paid use of Nudgora may require a subscription or other fees. Unless otherwise agreed, fees are non-refundable except where required by law. We may change pricing or packaging on a going-forward basis with reasonable notice.
Availability and changes
Nudgora may update, modify, suspend, or discontinue portions of the service from time to time. We aim to improve reliability and functionality, but we do not guarantee uninterrupted availability.
Intellectual property
Nudgora and its related software, branding, documentation, and content are owned by their respective rights holders and protected by applicable intellectual property laws. Except for the limited license granted here, no rights are transferred to you.
Disclaimer
Nudgora is provided on an “as is” and “as available” basis to the fullest extent permitted by law. We disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the fullest extent permitted by law, Nudgora and its operators will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, goodwill, or data, arising from or related to use of the service.
Termination
We may suspend or terminate access if you violate this agreement, create risk for the service or others, or if continued access is no longer commercially feasible. Upon termination, your right to use the service ends immediately.
Governing law
This agreement will be governed by the laws applicable in the jurisdiction from which the service is operated, without regard to conflict-of-law principles, unless another governing law is required by applicable consumer protection law.
